CONTRACTOR AGREEMENT

Quick & Safe EMS (Q&S), a Georgia limited liability company located at 2997 Johnson Ferry Rd, Marietta, GA 30062, is entering into this Independent Contractor Agreement (“Agreement”) with the Contractor listed below.

We have selected you based on your demonstrated skills, professionalism, and alignment with our team-first, high-performance culture. Contractor agrees to provide services as an Emergency Medical Technician and Operations Coordinator under the terms outlined in this Agreement.

Collectively the (Parties) make this Independent Contractor Agreement (Agreement) on Today’s Date. We selected you because you demonstrated a sincere interest in our team and superb skills needed for the success of our organization. Most importantly, you embody the values of establishing and maintaining a team environment and a winning focus.

WHEREAS Contractor agrees to the Services of an Emergency Medical Technician as set forth pursuant to the terms of this Agreement.

NOW, THEREFORE, in return for payment of the Services set forth herein, and such other good and valuable consideration, Contractor agrees to perform and abide by the terms and covenants of this Agreement, including but not limited to those relating to confidential information, non-solicitation and non-competition (unless otherwise approved by Q&S).

Description of Services

Contractor agrees to perform the following services:

  • Manage and maintain daily EMT schedules to ensure full operational coverage

  • Ensure all EMTs are compliant with Quick & Safe EMS standards, policies, and dress code

  • Coordinate onboarding, training, and ongoing EMT workforce management

  • Distribute schedules at least one day in advance and confirm attendance

  • Ensure all shifts are filled and communicate any updates to patients and facilities

  • Maintain an active pool of qualified EMT personnel

  • Verify completion and accuracy of Patient Care Reports (PCRs) and required documentation

  • Ensure compliance with all EMS, OSHA, HIPAA, and company standards

  • Submit weekly payroll and operational reports

  • Conduct ambulance inspections and ensure operational readiness

  • Manage EMT performance, conduct, and accountability

  • Serve as a resource for EMTs and healthcare partners

  • Support business development efforts where applicable

Shift Coverage Requirement

Contractor is required to maintain an active EMT certification and must be available to perform ambulance transport shifts when needed.

Attachment A

The period of performance will begin on the first date of Services performed by the Contractor, or as agreed upon by both parties.


  • Develop, maintain, and manage daily EMT trip schedules to ensure operational efficiency

  • Ensure EMT's abide by the Quick & Safe - EMS Dress Code

  • Ensure Quick & Safe - EMS is compliant on all levels

  • Ensure all EMT's are properly trained

  • Distribute finalized schedules to EMT staff at least one day in advance and confirm shift acceptance and attendance

  • Ensure all scheduled shifts are fully covered and proactively communicate any schedule changes to patients and healthcare facilities

  • Maintain a sufficient pool of vetted and onboarded EMTs to support operational needs

  • Coordinate issuance and management of EMT uniforms

  • Organize and facilitate virtual and in-person training sessions for EMT staff

  • Ensure all EMTs are active in MyGemsis and properly connected to Q&S systems

  • Verify completion of Patient Care Reports (PCRs) and daily vehicle inspection checklists

  • Review PCRs for accuracy, completeness, and billing readiness

  • Collaborate with EMTs and healthcare facilities to obtain required medical documentation prior to established deadlines

  • Track documentation due dates and ensure timely submission, storage, or forwarding as required

  • Prepare and submit weekly payroll reports accurately and on time

  • Ensure EMTs complete detailed Accident, Incident, Injury, or Exposure reports following any event, in accordance with safety protocols and reporting procedures

  • Provide weekly operational summary reports to ownership, including revenue variances and other key performance indicators

  • Ensure EMT compliance with all safety, operational, and documentation standards outlined in the Driver Contractor Handbook

  • Conduct scheduled ambulance inspections to confirm vehicles are fully stocked and compliant with inventory requirements

  • Serve as a clinical and operational resource to EMTs regarding non-emergency medical transport procedures

  • Maintain compliance with all applicable state EMS regulations, OSHA standards, HIPAA requirements, and internal company policies

  • Build and sustain strong relationships with healthcare partners and promptly address and resolve concerns

  • Demonstrate consistent professionalism in communication with EMTs, patients, facilities, and company leadership

  • Address, document, and manage EMT conduct and performance issues in accordance with company policy

  • Facilitate and lead regular safety meetings with EMT staff

  • Support business development efforts by assisting with leads and opportunities that may generate additional company revenue

  • In emergency situations, you are to work as an EMT to transport patients whenever possible.

  • Call dispatch to pick up runs and maximize usage when the ambulance is idle.

Compensation Structure

The Contractor will be compensated as follows:

  • Base Compensation: $3,000 per month

  • Shift Coverage Pay: $21/hour for approved ambulance shifts


Terms:

  • All payments are made weekly in arrears

  • All shift hours must be pre-approved

  • No overtime or premium pay applies

  • This compensation structure represents the full and complete compensation for all services performed


No Overtime Policy

  • Contractor is classified as a 1099 Independent Contractor

  • No overtime pay, time-and-a-half, or premium pay applies under any circumstance

  • All hours worked, including shift coverage, are compensated strictly at the agreed $21/hour rate

  • Contractor acknowledges and agrees that total compensation is inclusive of all services performed

Payment Terms

  • Payments are made weekly in arrears

  • Payments are based on:

    • Monthly base compensation (prorated weekly if applicable)

    • Approved and completed shift coverage hours

No Additional Compensation

No additional compensation will be provided for:

  • Overtime hours

  • Holidays

  • On-call availability

  • Administrative time outside outlined duties


Acknowledgment of Compensation Terms

Contractor acknowledges that they have reviewed and fully understand the compensation structure outlined in this Agreement and agree that no additional compensation, including overtime or bonus pay, will be owed unless explicitly agreed to in writing by Quick & Safe EMS.
